I hereby agrees to be bound by the following terms and conditions to access information from UFL[1]("Company")*:
Company grants to Customer, during the term of this agreement, a non-exclusive license to electronically access proprietary information provided by Company concerning Customer's shipments via UFL, ("DATA") and to use DATA solely in the regular course of Customer's business.
Company reserves the right to terminate this agreement, and access to DATA at any time without cause or notice.
Customer shall at all times be solely responsible for the privacy of any password, logon, or other security device or procedure provided to Customer to limit access to DATA to authorized persons.
Customer acknowledges and agrees that Company, in providing Customer with authorized electronic access to DATA, makes no representation or warranty whatsoever with respect to the accuracy, completeness, availability, security, or timeliness of DATA.
Customer waives any claim against the Company, and its owners, employees, agents, successors and assigns, for any loss, claim, expense, demand, or cause of action of any kind or character (including without limitation, damages for loss of business profits, business interruption, or other pecuniary loss), arising from or in connection with the use, accuracy, availability, security, or timeliness of DATA.
Customer agrees that DATA shall at all times remain the Company's sole and exclusive property, that Customer will not copy, download, further transmit or otherwise reproduce, store disseminate, or allow unauthorized access to said information without the Company's prior written approval. Customer may create printouts or electronic copies of DATA for internal use, but shall not distribute same to any third parties without Company's prior written consent.
DATA ACCESSED UNDER THE TERMS OF THIS AGREEMENT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF PERFORMANCE, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
ANY CONTROVERSY BETWEEN THE PARTIES REGARDING THE CONSTRUCTION OR APPLICATION OF ANY OF THE TERMS, COVENANTS OR CONDITIONS OF THIS AGREEMENT, SHALL EXCLUSIVELY BE INSTITUTED IN COURT OF HONG KONG SPECIAL ADMINISTRATIVE REGION, CHINA.
If Customer is a corporation, each individual executing this agreement on behalf of such corporation represents and warrants that he or she is duly authorized to execute and deliver this agreement on behalf of such corporation.
The laws of the Hong Kong Special Administrative Region, China shall govern the validity, performance and enforcement of this agreement.
[1]"UFL" means any and all affiliated companies of U-Freight Limited, a company incorporated in The Hong Kong Special Administrative Region, China[Back]
For the avoidance of doubt, in the event that there is conflict of interpretation between the English and Chinese Version of this Agreement, tbe English Version shall prevail. You may view the Chinese language version by selecting the Chinese link at the top of the page.
